VIRTUAL STRATEGIC PLANNING RETREAT

This Agreement (“AGREEMENT”) is between Blind Squirrel, Inc. d/b/a Integrity Marketing Solutions (“Company”), and (“Customer”), effective with today’s date, (the “Effective Date”).

TERMS AND CONDITIONS:

The Customer wants to contract with the Company for the provision of services from the Company to the Customer as per the Terms and Conditions below. Company provides a virtual strategic planning retreat service. Customer wishes to use this service as outlined below. This Agreement sets forth the terms and conditions under which the Company will provide services to the Customer and the mutual promises and covenants of the parties.

PRE-WORK AUDIT AND ANALYSIS: Subject to the terms of this Agreement, Company shall provide Customer with the following services:
1. SEO audit of current website, competitors and market position
2. Brand assets audit and assessment
3. Revenue audit: revenue trends, average fee, closing ratio
4. Social Media Audit: Reach, engagement, message
5. Referral Network Audit: Key referrals, revenue by referral
6. Email Marketing Audit
7. Advertising Audit: Audit of current and past paid advertising efforts
VIRTUAL RETREAT: Zoom conference with IMS team, principal attorney and any designated staff
1. Audit Review & Analysis

3. Mission, values, and vision
4. Goals for revenue and firm growth

COMPENSATION. Customer agrees to pay Company the Total Amount Due of $2,500, to be billed on the EFFECTIVE DATE (signing date) of this AGREEMENT.
RESCHEDULING. Rescheduling the half-day virtual retreat is discouraged. Company acknowledges that certain circumstances can arise that would necessitate a reschedule. In these instances, Company requests at least 24 hours notice and will accommodate ONE reschedule at no additional charge. Should Customer fail to attend the second reschedule, the virtual retreat will be canceled and Company will provide audit results and recommendations by email to fulfill the terms of this agreement. No refund will be issued.
NO REFUNDS. Company abides by a strict, no refund policy. By accepting the terms of this Agreement, Customer expressly agrees and understands that Customer is foregoing any right to claim any refund of fees paid for access and use of the service(s) offered by Company for any reason whatsoever.

ADDITIONAL PROVISIONS

1. Cooperation: Customer shall promptly provide true, accurate, current and complete information as required by this Agreement in order for Company to provide Customer services. Failure to promptly provide such information will be considered a breach of this Agreement. Customer hereby acknowledges that information provided to Company under this Agreement may be shared with Company professional advisors, affiliates and agents.
2. Entire Agreement: Customer acknowledges that it has read this Agreement and agrees that it is the complete and exclusive statement between the parties, superseding all other communications, oral or written. This Agreement constitutes the entire agreement between the parties. This Agreement may be modified only by a written amendment signed by the parties.
3. NON DISPARAGEMENT. The parties agree that after the delivery of the Service by the Company and the payment of all agreed fees by Customer, regardless of any underlying facts, neither party will make any public statements which materially disparage the other party. Notwithstanding the foregoing, nothing in this Section shall prohibit any person from making truthful statements when required by order of a court, mediator or governmental or regulatory body having jurisdiction or to enforce any legal right including, without limitation, the terms of this Agreement.
4. CORPORATE AUTHORITY AND LIABILITY. Customer warrants and represents that it has authority to enter into this Agreement. And that any person signing this Agreement has been duly authorized to execute this Agreement for and on behalf of the Customer. I/We acknowledge having read and understood the proceeding Terms & Conditions, and Customer agrees to abide by them.
