Carol Grant - FACEBOOK ADS MANAGEMENT AGREEMENT

This Agreement (“AGREEMENT”) is between Blind Squirrel, Inc. d/b/a Integrity Marketing Solutions (“Company”), and (“Customer”), effective with today’s date, (the “Effective Date”).

TERMS AND CONDITIONS:

The Customer wants to contract with the Company for the provision of services from the Company to the Customer as per the Terms and Conditions below. Company provides Facebook pay-per-click advertising management services. Customer wishes to use these services as outlined below. This Agreement sets forth the terms and conditions under which the Company will provide services to the Customer and the mutual promises and covenants of the parties.

WEBINAR / LEAD-GENERATION FACEBOOK ADS MANAGEMENT. Subject to the terms of this Agreement, Company shall provide Customer with the following services:
1. FACEBOOK ADS MANAGEMENT: COMPANY agrees to provide CUSTOMER with management services for on-Facebook lead ads.
CUSTOMER AGREEMENTS:
1. Customer agrees not to simultaneously run ANY other Facebook advertising campaigns while Company is managing ad campaigns, including but not limited to "boosted" posts.
2. Customer agrees to pay Facebook directly for all advertising spend and further to diligently maintain a working, valid credit card on file with Facebook at all times to avoid account flagging, shut-down or suspension. It is recommended to add a back-up payment method in the event the primary payment method fails. Failure to keep and update a working, valid payment method in Facebook may result in additional management fees to troubleshoot your account and/or contract cancellation.
3. CUSTOMER understands that Facebook will penalize campaigns that are paused or stopped by re-setting the algorithm, thereby driving up costs and reducing ad performance. Accordingly CUSTOMER agrees not to request undue campaign pauses and acknowledges that even brief pauses will adversely affect performance. Excessive pause requests may result in additional management fees and/or contract cancellation.
NO EXPECTATION OF MARKET EXCLUSIVITY. Customer understands and agrees that there is no offer, guarantee, promise or expectation that Customer will “own,” dominate or increase its market share in any specific market or that engaging Company Service accords them exclusivity to the Service within their existing market or any targeted market.
COMPENSATION. Customer agrees to pay Company a monthly retainer of $750 plus 10% of ad spend over $1,000 per month to be billed on or about the 15th day of each consecutive month hence.
TERM AND TERMINATION. The initial term of this agreement shall be three months. This agreement will then automatically renew monthly unless or until canceled by the CUSTOMER in writing with 30 days' notice. Termination of services means that Company will stop all ads and remove itself from Customer's Facebook advertising account, leaving CUSTOMER ownership and all campaigns intact. CUSTOMER is responsible for turning the ads back on if they so choose.

I AUTHORIZE BLIND SQUIRREL, INC., dba INTEGRITY MARKETING SOLUTIONS TO CHARGE my credit card on the payment schedule indicated below.

$750 Management Fee Monthly PLUS 10% of Ad Spend in excess of $1,000/month

$750 monthly management retainer plus 10% of ad spend in excess of $1,000/month. The first payment will be billed on the effective date of this agreement (today), and the next two payments will be billed on or about the 15th day of each month for the next two (2) consecutive months, and on a month-to-month basis thereafter.
