MARKETING RETAINER: SHANNON MCNULTY

This Marketing Retainer Agreement ("Agreement") is made and entered into as of , by and between Integrity Marketing Solutions, a digital marketing agency, hereinafter referred to as "Agency", and Shannon McNulty of The Village Law Firm, hereinafter referred to as "Client".

SERVICES:
The Agency agrees to provide the Client with the following services:

Strategic marketing services
Website upgrade
Search Engine Optimization (SEO)
YouTube Channel upgrade and SEO
YouTube shorts creation and distribution
Monthly performance coaching meetings
Social media management
Tracking and reporting
Webinar marketing funnel production
Facebook ads management (recommended Ad budget of $1,500/month paid directly to Facebook)

PAYMENT TERMS:
The Client has the option to choose from the following payment terms: A 12-month commitment at $3,500 per month.

ADDITIONAL SERVICES:
The Client may choose to add services at additional cost, as indicated by strategic marketing plan review and updates upon Client approval.
TERM:
The term of this Agreement will be 12 months, commencing on the date of signing.
TERMINATION:
Either party may terminate this Agreement with 30 days written notice. In the event of termination, the Client will be liable for any services rendered up to the date of termination.
CONFIDENTIALITY:
Both parties agree to maintain the confidentiality of all information obtained during the execution of this Agreement.
GOVERNING LAW:
This Agreement shall be governed by the laws of the State of Colorado.
ENTIRE AGREEMENT:
This Agreement contains the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.

PAYMENT AUTHORIZATION

I agree to the payment terms outlined below and I understand payments will be automatically billed to my credit card.

First payment of $3,500 due upon signing (today). Then 11 consecutive payments of $3,500 each to be billed on or about the first day of the month beginning in November, 2023.
