SPLIT PAY WEBINAR AND FUNNEL


This Agreement (“AGREEMENT”) is between Blind Squirrel, Inc. d/b/a Integrity Marketing Solutions (“Company”), and  (“Customer”), effective with today’s date, (the “Effective Date”).

TERMS AND CONDITIONS:

The Customer wants to contract with the Company for the provision of services from the Company to the Customer as per the Terms and Conditions below. Company develops and provides an online webinar marketing program. Customer wishes to use these services as outlined below. This Agreement sets forth the terms and conditions under which the Company will provide services to the Customer and the mutual promises and covenants of the parties.

  1. WEBINAR AND FUNEL CREATION. Subject to the terms of this Agreement, Company shall provide Customer with the following services: 
    1. WEBINAR CREATION: Strategy Session for Webinar goals, target audience, call to action and planning' Script Outline and Coaching; PowerPoint slides creation; Remote recording session; Video Post Production Audio and Video Editing; Deliver the final video file to client.
    2. WEBINAR FUNNEL CREATION:  Create a standard landing page for the video embed on the website; Upload video to client’s STANDARD Vimeo account ($25/month current pricing) and embed on the website landing page;
    3. WEBINAR AUTOMATION: Assist in the technical set-up to record registrations in the CUSTOMER’s CRM account and automate an email follow-up sequence.

  2. WEBINAR AUTOMATION REQUIREMENTS. CUSTOMER may use their own CRM account, but Company supports only Lawmatics or ActiveCampaign. If CUSTOMER chooses to use a different CRM, Company will provide the email content and the automation plan for the CUSTOMER to implement on their own. CUSTOMER may need a separate paid Zapier account to complete the automation.

  3. BOOK A CALL & CALENDAR SCHEDULING. Customer may choose to utilize the book-a-call strategy as the call-to-action for their online scheduling. Company agrees to assist and support Customer with calendar and online scheduling using ONCEHUB (Schedule Once) or CALENDLY for the online scheduling. Customer is free to use any online scheduler they choose, but Company will only support the ONCEHUB or CALENDLY applications. Customer agrees to pay for their own online scheduling account (not included in the Service).

  4. NO REFUNDS. Company abides by a strict, no refund policy. By accepting the terms of this Agreement, Customer expressly agrees and understands that Customer is foregoing any right to claim any refund of fees paid for access and use of the service(s) offered by Company for any reason whatsoever. 

  5. COMPENSATION. Customer agrees to pay Company the Total Amount Due of $10,000 in two payments, the first to be billed on the EFFECTIVE DATE (signing date) of this AGREEMENT and the second to be billed on or about 30 days later. The Total Amount Due is owed the Company whether or not Customer chooses to utilize any or all of the Service. Video files will not be released and no transfer of Work Product will occur until the Total Amount Due is paid in full and this Agreement is satisfied.

ADDITIONAL PROVISIONS

    1. Cooperation: Customer shall promptly provide true, accurate, current and complete information as required by this Agreement in order for Company to provide Customer services. Failure to promptly provide such information will be considered a breach of this Agreement. Customer hereby acknowledges that information provided to Company under this Agreement may be shared with Company professional advisors, affiliates and agents.
    2. Entire Agreement: Customer acknowledges that it has read this Agreement and agrees that it is the complete and exclusive statement between the parties, superseding all other communications, oral or written. This Agreement constitutes the entire agreement between the parties. This Agreement may be modified only by a written amendment signed by the parties.
    3. NON DISPARAGEMENT. The parties agree that after the delivery of the Service by the Company and the payment of all agreed fees by Customer, regardless of any underlying facts, neither party will make any public statements which materially disparage the other party. Notwithstanding the foregoing, nothing in this Section shall prohibit any person from making truthful statements when required by order of a court, mediator or governmental or regulatory body having jurisdiction or to enforce any legal right including, without limitation, the terms of this Agreement.
    4. CORPORATE AUTHORITY AND LIABILITY. Customer warrants and represents that it has authority to enter into this Agreement. And that any person signing this Agreement has been duly authorized to execute this Agreement for and on behalf of the Customer. I/We acknowledge having read and understood the proceeding Terms & Conditions, and Customer agrees to abide by them.

SPLIT-PAY AGREEMENT

I AUTHORIZE BLIND SQUIRREL, INC., dba INTEGRITY MARKETING SOLUTIONS TO CHARGE my credit card on the payment schedule indicated below.

SPLIT-PAY: Two payments of $5,000 the first due on the EFFECTIVE DATE (signing date) of this agreement and the second of $5,000 to be billed on or about 30 days hence.

APPLICANT AGREES THAT ALL INFORMATION IS ACCURATE AND FURTHER ACKNOWLEDGES THAT THIS CONTRACT MAY BE TERMINATED AT THE DISCRETION OF BLIND SQUIRREL, INC., dba INTEGRITY MARKETING SOLUTIONS IF ANY CHARGES ARE DECLINED OR CHARGEBACKS CLAIMED AGAINST ANY INVOICE.
